JOB DESCRIPTION Corporate Finance & Structuring Manager Version 1.1 (global recruitment) · Purpose of the role The company operates a network of independent businesses across enterprise technology, SaaS products, professional services and digital content, with entities in several jurisdictions and further entities planned across Europe, Asia and the Middle East. The role owns the financial modelling and structuring workstream behind that network: multi-entity financial planning, cap table and shareholding design, and the financial and administrative set-up of new entities in any of the network’s jurisdictions. It sits between the finance function and external legal and tax advisers in each country, converting strategic decisions into modelled options, documents and filings. Key responsibilities 1. Multi-entity financial planning (approx. 40%) –Maintain the network-wide financial ledger by business unit and entity across jurisdictions and currencies: revenue, cost, tax, working capital and free cash flow. –Model profit retention and distribution paths for each entity, including local corporate tax, withholding tax, dividend rules and distributable reserves in the relevant jurisdiction. –Prepare cash and capital allocation proposals for board and shareholder review. –Support annual budgets, quarterly reforecasts and management reporting across entities. 2. Boundaries of the role Legal opinions, tax opinions and final legal documents are provided by external professional firms in each jurisdiction. Essential requirements –Professional accounting qualification or finalist status (ACCA, ACA/CA, CIMA, CPA, HKICPA, ISCA, or equivalent). –3–6 years in corporate finance, transaction services, corporate tax structuring, or a finance lead role in a multi-entity or start-up environment. –Strong Excel financial modelling: three-statement models, cap tables, scenario analysis; tidy, auditable workbooks; comfortable working in multiple currencies. –Working knowledge of corporate tax, dividend and distribution rules and company registry filings in at least one of the network’s jurisdictions, and demonstrated ability to learn the rules of others. –Ability to read shareholders’ agreements and constitutional documents and extract the financial and control terms. –Clear written English; able to produce concise decision papers.
